Acquired Inman Construction Corp.

Industry/Sector: Construction/General Contracting

Deal Type: M&A – Acquisition Advisory

FourBridges Team: Dewey Hammond, Chris Rowe

Client Profile: Based in Chattanooga, Tennessee, EMJ is a diversified construction company that has completed over 500 million square feet of construction projects in 48 states and owns a number of operating divisions, including Signal Energy. EMJ has regional offices in Dallas, Sacramento, Boston, and Tulsa.

Client Objectives: EMJ desired to consider selective acquisition(s) that would diversify its customer base and enable the company to deploy its construction management expertise and resources into other geographic or industry segments.

The Challenge: EMJ approached FourBridges to assist the company in evaluating and negotiating the possible acquisition of several targets that had approached EMJ either directly or through intermediaries.

The Process: During the process of assisting EMJ in evaluating several possible acquisition targets, FourBridges helped EMJ develop specific criteria for an acquisition that would meet the company’s objectives. FourBridges then identified Inman as a possible fit, initiated contact with Inman, gathered and evaluated preliminary information on that company, introduced them to EMJ, and assisted EMJ in negotiating the terms of the acquisition.

The Result: EMJ closed on its acquisition of Inman Construction Corp on March 1, 2010. EMJ was able to diversify into healthcare and institutional construction while Inman found a partner to expand its reach into new markets and new building types.

Testimonial: “Inman is an ideal fit for EMJ. We share the same values and have a very similar approach to doing business. We intend to build upon the unique strengths and market position of Inman and of EMJ to make for a stronger combined company for our customers. We appreciate FourBridges identifying this opportunity for us and helping bring it to a successful close.” -   Jim Sattler, CEO
